Welcome to SnapInvite, an online platform operated by Valley Tech LLC ("Valley Tech," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the SnapInvite website, web application, hosted event pages, RSVP features, AI invitation tools, and any services we provide (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and any policies referenced in them, including our Privacy Policy. If you do not agree, do not use the Services.

Plain language summary: SnapInvite helps hosts create shareable event pages, send invitations, collect RSVPs, and manage guest lists. SnapInvite may also offer AI-powered invitation design tools. You are responsible for how you use the Services (including how you contact guests), and you must follow these Terms, respect privacy and intellectual property, and pay for any paid features you purchase.

1. Eligibility and Accounts

  • Minimum age: You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account or place paid orders. Minors may use the Services only with the active involvement of a parent or legal guardian who accepts these Terms on the minor's behalf.
  • Account accuracy: Provide complete and accurate information when you register, create events, add guests, or otherwise interact with the Services. Update your information promptly if it changes.
  • Account security: You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

2. Description of the Services

2.1 Event Pages, RSVPs, and Guest Management

SnapInvite may allow you to:

  • Create hosted event pages (which may include sections like event details, RSVP forms, location, gallery, FAQ, and other blocks).
  • Collect RSVPs (e.g., Yes/No/Maybe, party size, custom questions) from guests without requiring them to create an account.
  • Manage guest lists (import/export, reminders, confirmation emails, RSVP analytics, and related tools).
  • Generate calendar exports (ICS and add-to-calendar links) and shareable URLs.

Host responsibility for guest privacy: Event pages are typically accessible to anyone with the link (and may be guessable if you choose a public slug). Do not post sensitive information on event pages. We provide controls such as hiding the exact address until a guest RSVPs "Yes," but you remain responsible for what you publish and whom you share links with.

2.2 AI-Powered Invitation Design Tools

SnapInvite may let you describe an event and generate invitation artwork through third-party AI models (including OpenAI and Replicate), customize layouts, and download invitation assets.

Important AI disclaimers:

  • AI outputs may not always be unique, error-free, or appropriate for every use.
  • AI-generated content may contain inaccuracies, biases, or unexpected results.
  • You must review all AI outputs before using or distributing them.
  • Similar content may be generated for other users due to the nature of AI systems.

2.3 Package System and One Design Policy (If Applicable)

If you purchase a package or credits for AI invitation generation and/or downloads, additional rules may apply, including the following (as displayed in-product):

  • One package, one design rule: If enabled for your purchase, once you download any design, your package may lock to that specific invitation. You may be required to purchase a new package to generate or download different designs.

2.4 Beta/Development Status

During development phases, certain capabilities may be limited, manually fulfilled, or subject to delays. Features can change or be discontinued without notice, though we will provide reasonable advance notice when feasible.

3. User Content, Guest Data, and AI-Generated Output

3.1 Your Content

You own the text, images, and other material you submit to the Services ("User Content"), including event descriptions, guest messages, custom questions, and any images you upload.

You grant Valley Tech a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display User Content as reasonably necessary to:

  • Operate, improve, and support the Services.
  • Deliver invitations, event pages, RSVP tracking, and communications.
  • Generate AI outputs (if you use AI features).
  • Provide customer support and troubleshoot issues.
  • Comply with legal obligations.

3.2 AI-Generated Content Ownership and Rights

Important legal notice: AI-generated content may not be eligible for copyright protection under current U.S. law, as copyright generally requires human authorship.

Subject to your compliance with these Terms and full payment of applicable fees:

  • We grant you a non-exclusive, worldwide license to use, reproduce, and distribute AI-generated invitation assets for personal or business event communications.
  • We do not guarantee exclusive rights to generated outputs, and similar content may be created for other users.
  • You are solely responsible for evaluating the accuracy, appropriateness, and legality of AI outputs for your intended use.
  • We do not guarantee that AI outputs do not infringe third-party rights.

3.3 Guest Data and Communications

If you upload guest lists or send invitations/reminders using the Services, you represent and warrant that:

  • You have lawful authority to provide guest contact information to us.
  • You have obtained any required consent to contact guests (including by email or SMS).
  • Your communications comply with applicable laws and industry requirements (including anti-spam and telemarketing laws).

3.4 SMS/Text Message Terms (If Applicable)

If SMS is enabled for an event, we (or the host using the Services) may send text messages to the phone number provided, such as invitations, RSVP confirmations, reminders, and event updates.

  • Opt-out: Reply STOP to unsubscribe (or another standard opt-out keyword). If you opt out, you will stop receiving SMS messages from that sender unless you opt back in.
  • Message frequency: Varies by event and activity.
  • Fees: Standard message and data rates may apply.
  • Help: Contact us at [email protected].

4. Acceptable Use

You agree not to:

  1. Use the Services for unlawful, harmful, or deceptive purposes.
  2. Send spam, phishing, or otherwise unlawful messages to guests.
  3. Submit or generate content that is defamatory, obscene, hateful, exploitative of minors, or otherwise objectionable.
  4. Upload, distribute, or facilitate malware, spam, or unauthorized data collection.
  5. Attempt to access or disrupt non-public parts of the Services, security features, or underlying infrastructure.
  6. Misrepresent your affiliation with any person or entity, or imply our endorsement without permission.
  7. Attempt to reverse engineer, extract, or recreate the AI models or algorithms.
  8. Use the Services to generate content that infringes intellectual property rights.
  9. Collect, sell, or trade guest data for unrelated purposes or syndicate guest lists without explicit consent.

We reserve the right to investigate and disable accounts or content that violate these Terms.

5. Paid Plans, Orders, and Refunds

5.1 Pricing and Payments

  • Pricing for subscriptions, packages, and add-ons is displayed in the Services and may change at any time.
  • Payments are processed securely by Stripe, Inc. By submitting payment information, you authorize us and Stripe to process charges.
  • Taxes may apply and will be calculated at checkout.
  • All prices are in U.S. dollars unless otherwise specified.

5.2 Subscriptions and Cancellation

  • If you purchase a subscription, it may renew automatically unless canceled. Cancellation typically takes effect at the end of the current billing period.
  • We may offer trials or promotional pricing; eligibility and terms will be shown at checkout.

5.3 Refund Policy

Except where required by law, the following generally applies:

  • Digital packages/credits and AI generations: All sales are final once service usage begins (for example, once you generate any AI design), as generations incur third-party processing costs.

If the Services display different refund terms for a specific offer, those terms control for that purchase.

6. Intellectual Property

6.1 Our Intellectual Property

  • The Services, including design, software, trademarks, and content (excluding User Content and AI outputs), are owned by Valley Tech or our licensors.
  • You may use the Services only for their intended purpose and subject to these Terms.
  • "SnapInvite" and related marks are trademarks of Valley Tech LLC.

6.2 Third-Party Intellectual Property

  • We use third-party AI services (including OpenAI and Replicate) and other providers.
  • We implement measures to prevent obvious copyright infringement, but cannot guarantee all outputs are free from IP issues.
  • You are responsible for ensuring your use of outputs and uploaded content does not infringe third-party rights.

If you believe content hosted on the Services infringes your copyright, you may send a notice to:

Your notice should include: (1) your signature (physical or electronic); (2) identification of the copyrighted work; (3) identification of the allegedly infringing material and where it is located; (4) your contact information; (5) a statement that you have a good-faith belief the use is unauthorized; and (6) a statement, under penalty of perjury, that the information in the notice is accurate and you are authorized to act on behalf of the copyright owner.

We may remove or disable access to content and may terminate repeat infringers as appropriate.

7. Third-Party Services and Dependencies

The Services rely on third-party providers including:

  • AI services: OpenAI and Replicate.
  • Infrastructure: Amazon Web Services (AWS), Cloudflare.
  • Payments: Stripe.
  • Analytics/marketing: Google Analytics 4, Meta Pixel, Reddit Pixel, and FullStory session replay.
  • Email/SMS: Postmark for transactional emails; Twilio for SMS.

Outages, changes, or interruptions at these providers may affect the Services. We are not liable for third-party service disruptions.

8. Privacy and Cookies

Our collection and use of personal information is described in our Privacy Policy.

8.1 Face Uploads and Biometric Data

If you use the optional face-upload feature:

  • Face uploads are used solely to generate invitations. Temporary copies are deleted after generation and are designed to expire automatically within a short period (for example, within 24 hours). We do not create or store biometric templates/embeddings.
  • In some locations (including Illinois and Texas), explicit consent is required before processing face images. A parent/guardian must provide consent for minors.
  • You must have the legal right to upload any face image (including for children) and ensure compliance with applicable biometric, privacy, and child-protection laws.
  • We may transmit the uploaded image to contracted AI vendors for generation, limited to the data necessary to perform the service.

9. AI-Specific Disclaimers and Limitations

9.1 AI Output Disclaimers

IMPORTANT: AI-generated content is provided "AS IS" without warranties. Specifically:

  • No accuracy guarantee: AI outputs may contain factual errors, inconsistencies, or nonsensical elements.
  • No originality guarantee: AI may produce content similar to existing works or other users' outputs.
  • No appropriateness guarantee: AI outputs may not be suitable for your specific use case or audience.
  • Bias and fairness: AI systems may exhibit biases present in training data.

9.2 Your Responsibilities

You must:

  • Review all AI outputs before use or distribution.
  • Verify any factual claims in AI-generated content.
  • Ensure AI outputs comply with applicable laws and regulations.
  • Take responsibility for any consequences of using AI outputs.

10. Disclaimers and Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW:

  • The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind.
  • We disclaim all warranties regarding the accuracy, completeness, reliability, or suitability of AI-generated content.
  • We disclaim responsibility for third-party services, including AI providers, payment processors, and analytics providers.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

11.1 Damage Limitations

Valley Tech and its directors, officers, employees, contractors, and agents will not be liable for:

  • Any indirect, incidental, consequential, special, or exemplary damages.
  • Lost profits, data, goodwill, or business opportunities.
  • Damages arising from AI-generated content, guest responses, or third-party services.

11.2 Liability Cap

Our total liability for any claim under these Terms will not exceed the greater of:

  • The amounts you paid for the Services in the 12 months preceding the claim, or
  • One hundred US dollars ($100).

11.3 Essential Service Element

These limitations are an essential element of the bargain between you and Valley Tech. The Services would not be provided without these limitations.

12. Indemnification

You agree to defend, indemnify, and hold harmless Valley Tech and our affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services or violation of these Terms.
  • Your User Content.
  • Your communications to guests.
  • Your infringement of third-party intellectual property rights.
  • Your violation of applicable law.

13. Suspension and Termination

13.1 Termination Rights

  • By you: You may stop using the Services at any time.
  • By us: We may suspend or terminate your access with or without cause, including for violations of these Terms, security risks, or non-payment.

13.2 Effect of Termination

Upon termination:

  • Your right to use the Services immediately ceases.
  • We may delete your account and User Content (subject to legal retention requirements).
  • Sections that by their nature should survive will survive.

14. Changes to Services and Terms

We may update the Services and these Terms from time to time. For material changes, we will:

  • Update the "Last updated" date above.
  • Provide reasonable notice via email or in-app notification.

Continuing to use the Services after changes become effective constitutes acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of California, United States, without regard to conflict-of-law principles.

15.2 Informal Resolution

Before filing any formal claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith within 30 days.

15.3 Binding Arbitration

IMPORTANT: Any dispute that cannot be resolved informally will be settled by binding arbitration rather than in court, except for small claims court matters and intellectual property disputes.

  • Arbitration will be conducted by JAMS under their Streamlined Arbitration Rules.
  • The arbitration will be held in San Francisco, California, or conducted remotely.
  • Each party will bear their own costs except as awarded by the arbitrator.
  • Class action waiver: You agree that disputes will be resolved on an individual basis only.

15.4 Arbitration Opt-Out

You may opt out of arbitration by sending an email to [email protected] within 30 days of first accepting these Terms with the subject line "Arbitration Opt-Out" and your account email and mailing address in the body.

15.5 Exception for Injunctive Relief

Either party may seek injunctive or other equitable relief in court to protect intellectual property rights or prevent unauthorized use of the Services.

16. Miscellaneous

16.1 Force Majeure

We are not liable for delays or failures in performance resulting from acts beyond our reasonable control.

16.2 Assignment

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

16.3 Entire Agreement

These Terms, together with our Privacy Policy and any other referenced policies, constitute the entire agreement between you and Valley Tech regarding the Services.

16.4 Severability

If any provision is found unenforceable, the remaining provisions will continue in full force and effect.

16.5 No Waiver

Our failure to enforce any provision is not a waiver of our right to do so later.
